# 手续费和常见费用/设置

## 1. DeBot.AI 手续费（无需设置）

DeBot.AI只收取 1% 的手续费（用户VIP等级越高，手续费越低，详细请查看[返佣说明](https://docs.debot.ai/pages/ZBWQrfjv2sx0jo2zI0dV#id-2.-ji-fen-deng-ji-jiang-li-ji-zhi)），单笔结算，除此之外无任何附加收费，对于交易费用有疑问的用户，请优先查看你的<mark style="color:red;">优先费/贿赂费</mark>和<mark style="color:red;">滑点设置</mark>。

图中主要金额收取如下

1. 交易金额 1.609 WSOL
2. DEBOT收手续费 0.016 WSOL（WSOL是Solana链上用于交易的代币，1 WSOL=1 SOL）
3. solana租金0.002 SOL（Sol链机制，第一次买入该代币的时候会租一个账号，后面可以手动退还租金）
4. 贿赂费（向第三方服务商支付的额外费用，用于交易更快上链）：0.003 SOL，
5. 优先费（支付给验证节点（或矿工）的费用，使交易在网络拥堵时有更高优先级被处理）：0.001285 SOL

## 2. Gas费（无需设置）

说明：Gas Fee 是指在用户在执行交易或与智能合约交互时，需要向网络验证者支付的费用，也就是俗称的上链费用。

* Solana 链使用 SOL 作为 Gas 单位，一般包含优先费
* ETH 链因为 ETH 价格较高，手续费计算不便，因此使用Gwei作为 Gas 单位：1 ETH = 1,000,000,000 Gwei（9 个 0）

## 3. 滑点（需要设置）

1）说明：滑点是指单笔交易时，声明本次交易最大可接受代币数量偏差。例如，买入时滑点30%，如果实际收到代币在70%\~100%之间，则链上交易会成功，如果实际收到代币低于70%，则链上交易失败（超过滑点范围）。

2）设置滑点限制比例是为了确保你不会因为遇到滑点而承担超出预期的损失，一旦实际执行价格超出设置的滑点比例，则该笔交易将会自动取消。

3）MEME交易时，有经验的交易者会大幅提高滑点，以应对代币FOMO和FUD情绪导致的暴涨暴跌，因为诉求是快速买入，快速卖出，不关心实际能收到多少笔。

✅Tips：手动买卖建议自动即可；自动买/自动卖等挂单操作建议滑点30%-35%；冲新盘热度盘建议50%往上。

1）说明：MEV 机器人（夹子机器人）核心的攻击方式就是 Sandwiching，也就是所谓的三明治攻击，相当于高频交易公司采用的抢先策略：在典型的三明治攻击中，MEV 机器人读取传入的交易信息并抢先执行订单，从而推高你买入时的代币价格。

* *MEV机器人检测到你的这笔交易，赶在区块打包之前自动生成了一笔买入代币交易，而且交易手续费比你更高，于是机器人的交易被抢先执行*
* *在机器人的交易被执行后，由于自动做市机制，代币单价会抬高，涨价会直接作用到后来的交易上，因此等到交易轮到你时，代币价格已经涨了，到手的代币实际数量并没有最开始下单时多。这个差值也被称为滑点金额。（但与正常滑点有所出入，属于因夹子出现的滑点）*
* *在我们的交易执行后，代币价格会继续升高。这时候，机器人再生成一笔交易，将前一笔交易中较低价格买入的卖出，刚好赚下差价。机器人生成的两笔交易刚好包夹了我们的交易，看起来就像一个三明治*

2）开启防夹模式，能有效避免交易被三明治攻击，但开启防夹模式则要求优先费至少 <mark style="color:red;">0.012 SOL</mark>

1）说明：支付给验证节点（或矿工）的费用，使交易在网络拥堵时有更高优先级被处理

✅Tips：对于交易速度无要求一般建议0.001 SOL 即可。链上繁忙时，如果想快速成交，需要手动提高交易优先费。DEBOT最低支持设置**0.0001**的优先费

## 6. 贿赂费

&#x20;说明：向第三方服务商支付的额外费用，用于交易更快上链。

# IOS APP 端访问 DeBot 解决方法

### 适用情况

• 开启全局模式后，无法访问微信等国内其他网站；

• 不开启全局模式，无法顺利使用DeBot APP。

### 操作步骤

1. 打开shadowrocket（小火箭）或其他VPN连接工具，以下以小火箭为例；
2. 确保自己的「全局路由」选用的是『配置』，随后再点击下方的【配置】按钮，进入配置文件页面；

* AI信号告警卡片推送后，5秒内触发生成，预计10秒内完成。

## 钱包观察分组

列表在打开观察分组是我们提出的一个特有概念，基于观察分组，您可以分析基于分组的数据、基于分组配置监控。页面会自动刷新，实时刷新列表中钱包交易的代币，方便您进行查看

#### 1. 地址导入和批量导入

地址和名称中间用空格或/隔开即可，或将钱包地址放在表格的两列，复制时地址和备注名称一起复制即可，支持多链，**不同链的地址都可以放在同一个组别**

# 通知渠道配置

通过通知渠道的配置，用户可以将监控的消息通知到特定的地方，例如钉钉、TG等。

目前DeBot支持APP推送（内置无需配置）、钉钉、Telegram三种渠道的配置，未来还有可能增加其他的通知渠道，例如微信、短信等。

在 <https://debot.ai/deFiBot/channel> 页面可以添加通知渠道

## APP通知渠道（内置）

APP通知渠道是内置的渠道，如果你不想使用别的接收消息，可以使用APP通知渠道。它会通知到你的网站和APP上。

## 添加Telegram通知渠道

使用Telegram接收通知分为两种方式，分别为：

1. 个人与机器人私信对话通知；
2. 群组内通知

仅需3步：

1. 创建Telegram通知；
2. Telegram绑定并测试；
3. 监控设置勾选Telegram通知渠道

路径：监控机器人—通知渠道—创建通知渠道—选择电报—绑定个人或群组—测试发送—监控设置勾选通知渠道

### 步骤一、创建通知渠道

提交之后会弹出一个指引框。请选择你需要绑定到个人还是绑定到群组中。

1. 绑定到个人

点击唤起Telegram

在显示success字样后，说明你绑定成功了。点击测试即可收到消息，如果收到了，那就说明这个渠道可以使用，后续你可以复用这个渠道。

2. 绑定到Telegram群组

复制机器人用户名并将机器人邀请入想要通知的群组内，如果群内有其他管理机器人可能会限制发送消息，请将机器人设置为管理员；机器人进群后复制指令发送到群组内

单个币加入监控有以下两种方式

## 钱包行为监控

在 <https://debot.ai/deFiBot/strategy> 页面可以配置钱包行为监控，钱包行为的监控是基于钱包分组，用来监控钱包的买入、卖出、转入、转出等动作。当您监控的地址有发生操作行为会对应您设置的通知渠道进行通知。

# TG通知配置教程

### Intro

* 想要导入钱包后即可在Telegram接收到交易活动的通知？只需要简单的几步即可完成！

### 第一步 创建你的bot （两种方式）

#### 方法1： 与bot对话的形式

* 首先打开[@BotFather](https://t.me/BotFather)，输入/newbot，接着根据自己的喜好给bot取个名字，随后再给bot取一个以"bot"为后缀的名字后，属于你自己的bot就创建成功了
* 随后将该bot的API token复制到输入框即可
* 接着打开刚刚创建的bot的聊天记录窗口，点击“Start”激活机器人即可

* 优先费较低，节点打包速度慢，容易倒计时结束后超时&#x20;
* 滑点较低，代币价格波动较大时，无法触发（比如k线插针等剧烈震荡情况）

**1）手动交易/挂单交易提交失败（未上链）：**

* 钱包余额不足，当钱包 ETH/SOL 余额不足买入金额，或者不足以支付Gas，建议 SOL 链钱包预留金额至少大于0.02 SOL
* 卖出时钱包代币不足，当钱包中无代币情况下，无法提交交易
* 买入提交失败，代币本身的限制，可能是项目初期买入时限购
* 卖出提交失败，可能是因为项目是貔貅或者你在黑名单列表，无法卖出

**2）手动交易/挂单交易执行失败（已上链）：**

* 通常是滑点较低导致的交易执行失败，提交上链执行失败，会消耗Gas/优先费。建议在冲新盘，或者盘正处于fomo时，提高交易滑点。

**3）无可用路由（未上链）：**

* 代币创建者/项目方撤池子，导致无可用路由，无法买入/卖出
* Solana pump.fun，moonshot 等代币，当代币市值已满 $45K，官方正在添加池子在 Raydium/Meteora DEX 过程等待开盘时，无法交易，请等待

目前DebotAI采用了两家审计公司（ Go Plus等）虽然可以提供关于合约的初步安全分析和风险提示，但其结果并不一定是准确的，原因有以下几个方面：

1. 智能合约的复杂性：智能合约的代码往往非常复杂，自动化工具在分析时，可能无法理解一些复杂的逻辑或动态行为。例如，一些合约可能通过特殊的编程技巧动态改变行为，导致审计工具无法准确预测它的行为，特别是在运行时。
2. 新型攻击手段和漏洞

   区块链技术和加密货币生态系统快速发展，新的攻击手段和漏洞不断出现。审计工具可能无法及时跟上最新的安全威胁，尤其是那些未被广泛记录的漏洞。这使得它们在检测某些特定类型的漏洞时不够有效。
3. 针对工具的规避 有经验的开发者可能专门编写代码来规避这些自动化审计工具，使得它们无法发现潜在的恶意行为。例如，开发者可以通过隐藏或延迟恶意行为来欺骗审计工具，使得审计结果看似安全，但实际运行时仍可能有风险。
4. 一些智能合约是可升级的 即合约的逻辑可以在部署后通过管理员或治理过程进行更改。这意味着即使当前合约通过了审计，未来的升级仍可能引入漏洞或恶意行为，而自动化工具往往只能分析当前版本的代码，无法预测未来的变化
5. 蜜罐机制的伪装

   蜜罐是一种设计用于引诱用户进行交易后锁定资金的合约。开发者可以使用复杂的代码结构或特殊逻辑，使得蜜罐机制在常规条件下看似正常，而在特定条件或交互中激活。审计工具可能未能捕捉到这些隐蔽的条件或特定交互，导致误判。
6. 时间锁或延迟触发 一些恶意合约会使用时间锁定或延迟触发机制，直到满足特定条件后才会表现出恶意行为。这样的行为对静态分析工具来说是难以检测的。 因此偶尔会有，前一秒钟代币风险提示是绿色的，第二秒钟代币风险提示是红色的情况发生。同时延时貔貅等情况市面上也没有任何一家审计机构可以检测。 DebotAI不会验证也不对第三方验证公司的质量负责，购买任何代币前请务必检查。

* 你也可以修改每个钱包的备注

### 1.2 生成钱包和导入钱包

* 已归档：点击后，归档列表弹出，可进行全链已归档钱包的恢复操作

Debot 推出的「信号跟单」功能，是一种智能化自动交易功能，基于链上聪明钱包、AI 策略模型、KOL 交易行为等信号源，帮助用户实现 **一键配置，自动买卖**。用户只需设定好跟单规则，当系统监测到满足条件的信号时，会自动进行买入或卖出，无需手动操作。支持用户根据智能信号（如聪明钱包、AI 策略信号等）自动执行买入与卖出操作。用户可自定义买入条件、止盈止损策略、过滤维度和运行时间，实现更灵活、更安全的自动化交易体验。Debot是一个让你“像聪明人一样买币”的自动化交易工具。

本功能当前为 **Beta 内测版本**，首期仅面向 **前 100 位 用户开放**，优先Debot Pro 会员或积分高的用户，其余用户可登记等待开放通知。

# 杠杆交易

说明：Debot 杠杆交易当前基于 Likwid 相关协议能力。实际可交易币种、杠杆倍数、费率、清算规则、借款利率、风险检测结果，以 Debot 页面实时展示和链上交易结果为准。

### 1. 什么是杠杆交易？

杠杆交易释义：你先拿出一部分自己的资产作为保证金，再通过协议借入额外资金，放大你的交易仓位。

举个简单例子：

* 你用 1 BNB 做保证金，选择 2x 杠杆做多某个代币。
* 系统会根据页面参数，为你建立约等于 2 BNB 价值的仓位。
* 如果代币价格上涨，你的收益会被放大；如果价格下跌，你的亏损也会被放大。
* 当亏损过大，保证金不足以覆盖借款风险时，仓位可能被强制清算。

所以，杠杆交易不是“稳赚工具”，而是“放大仓位的工具”。它会同时放大收益和亏损。

### 2. Debot 杠杆交易适合什么场景？

Debot 的杠杆交易适合已经理解链上交易基础，并希望用更少本金参与更大仓位的用户，例如：

* 看好某个代币短期上涨，想用杠杆做多。
* 看空某个代币短期下跌，想用杠杆做空。

### 4. 如何开启杠杆交易？

#### 第一步：进入交易页面

在 Debot 顶部导航进入现货币种交易页面，如果该币种支持杠杆交易池子，则会在右侧交易面板显示杠杆交易开关，开启开关即可进入杠杆交易。\ <mark style="color:$danger;">杠杆交易会放大收益，也会放大亏损。市场价格小幅反向波动，就可能导致较大亏损甚至清算。请不要使用无法承受损失的资金进行杠杆交易。</mark>

#### 第二步：杠杆交易风险提示

* 杠杆交易风险较高，开启交易前请充分了解风险后谨慎操作。
* 杠杆交易会放大亏损，极端行情下可能发生爆仓
* 爆仓仅影响你的杠杆开仓部分，不会影响现货资产或其他未参与杠杆交易的资产。
* 开启杠杆交易后，手续费包含 Swap 费用与借币费用。Swap 费用与交易池流动性强相关；当池子流动性不足时，协议可能自动上调手续费比例，费用可能大幅增加。请充分关注手续费风险，谨慎操作。
* 风险清算等级默认为 1.1。当保证金比率低于 1.1 时，系统将触发清算并平仓你的仓位。由于链上行情波动较大，清算触发可能存在一定偏差，请提前关注仓位风险。
* 当前移动端暂不支持杠杆交易，请在Web端使用该功能。

#### 第三步：打开杠杆交易

在右侧交易面板中，打开“杠杆交易”开关。\
勾选风险提示后即可开启交易，你可以选择“做多”或“做空”，并设置杠杆倍数和交易数量。

#### 第四步：选择方向

如果你认为币价会上涨，选择“做多”。\
如果你认为币价会下跌，选择“做空”。

不要只根据短时间涨跌开仓。建议结合 K 线、成交量、买卖盘、流动性、项目风险和整体市场环境判断。

#### 第五步：设置杠杆倍数

在杠杆滑杆或倍数选择器中设置倍数。\
页面示例中显示 2x，适合新手理解和试用。倍数越高，仓位越容易被清算。

建议：

* 新手优先使用 2x 或较低倍数。
* 对 meme、低流动性、税费复杂、风险提示异常的代币，不建议使用高杠杆。
* 如果不确定，先用小金额测试一次完整的开仓和平仓流程。

#### 第六步：输入交易数量

在“数量”输入框中输入本次要使用的资产数量，也可以点击 0.1、0.5、1、2 等快捷按钮。\
请确认页面显示的余额足够支付保证金、Gas 和可能的交易费用。

#### 第七步：检查开仓前信息

点击开仓前，至少确认以下信息：

* 交易方向：做多还是做空。
* 杠杆倍数：是否符合你的风险承受能力。
* 投入数量：是否为你愿意承担损失的金额。
* 预计仓位：仓位价值是否过大。
* 借款金额：是否理解这部分需要偿还。
* 清算价：距离当前价格是否足够远。
* 交易费、滑点、税费：是否在可接受范围内。
* 风险检测：是否存在貔貅、黑名单、高税费、不开源、未弃权、未锁池等风险。

#### 第八步：确认交易

点击“杠杆做多”或“杠杆做空”后，根据钱包提示确认链上交易。\
交易提交后，请等待链上确认。不要重复点击，以免重复提交交易。

### 5. 如何查看和管理持仓？

#### 5.1 在交易页查看当前持仓

开仓成功后，可以在 K 线下方的“我的持仓”中查看：

* 币种：当前仓位对应的交易对。
* 仓位：当前持有的仓位数量。
* 保证金 / 保证金比率：你的自有资金和风险缓冲情况，用于追加保证金降低清算风险
* 清算价 / 实时价格：判断是否接近清算。
* 总利润 / 未实现：当前浮动盈亏。
* 借款金额：协议为该仓位借出的资产。
* 操作：通常包括平仓等操作。

#### 5.2 在资产页查看杠杆资产

进入“资产”页面后，可以切换到“杠杆”标签。\
这里适合查看多钱包、多仓位的汇总情况：

* 已选钱包数量。
* 总余额。
* 总盈亏。
* 未实现利润。
* 当前持仓。
* 交易历史。
* 历史仓位。

如果你同时管理多个钱包，建议在开仓、平仓、划转、归集前确认当前选中的钱包，避免误操作。

在“我的持仓”中找到对应仓位，点击“平仓”。\
平仓时，系统会处理仓位并偿还借款。平仓后的最终结果受实时价格、滑点、流动性、交易费、借款利息和链上成交状态影响。

### 6. 常见问题

#### Q1：杠杆交易和普通现货交易有什么区别？

普通现货交易一般是你有多少钱就买多少币。\
杠杆交易会引入借款，让你用较少保证金控制更大的仓位，因此收益和亏损都会被放大，并且可能被清算。

#### Q2：为什么我盈利了，最终到账金额还是比预期少？

可能原因包括：

* 开仓和平仓产生交易费。
* 持仓期间产生借款利息。
* 平仓时存在滑点。
* 代币本身有买入税、卖出税或转账税。
* 链上 Gas 费用变化。
* 流动性不足导致成交价格偏离预估。

#### Q3：清算是不是一定发生在页面显示的清算价？

页面清算价是重要参考，但链上执行还会受到实时价格、流动性、交易深度、协议规则、区块确认速度等因素影响。\
不要把清算价当作绝对安全线，建议提前预留缓冲。

#### Q4：为什么某些币不建议开杠杆？

杠杆交易需要该币种有对应的杠杆池子，才可开启杠杆交易。

链上长尾币和 meme 币可能存在特殊风险，例如：

* 貔貅盘：可以买入但无法卖出。
* 高税费：买入或卖出被扣除高额税费。
* 黑名单：合约可能限制部分地址交易。
* 流动性不足：开仓和平仓滑点很大。
* 未开源、未弃权、未锁池：项目方仍可能修改规则或撤出流动性。
* 价格被操控：低流动性池子容易被大额交易影响。

如果 Debot 已提示疑似风险，新手应优先放弃该交易，而不是用杠杆放大风险。

#### Q5：做空是不是一定能在下跌时赚钱？

不一定。\
做空也会受到借款成本、滑点、交易费、价格反向上涨、流动性不足、平仓失败等因素影响。价格短时间急涨时，空仓也可能快速接近清算。

#### Q6：为什么平仓可能失败？

可能原因包括：

* 链上拥堵或 Gas 不足。
* 当前流动性不足。
* 价格波动导致滑点超出设置。
* 代币合约限制交易。
* 钱包、网络或 RPC 异常。
* 协议正在根据清算或还款规则处理仓位。

遇到这种情况时，优先检查钱包交易状态、Gas、滑点设置和页面风险提示。

### 7. 风险提示

#### 7.1 杠杆风险

杠杆交易会放大收益，也会放大亏损。市场价格小幅反向波动，就可能导致较大亏损甚至清算。请不要使用无法承受损失的资金进行杠杆交易。

#### 7.2 清算风险

当仓位保证金不足以覆盖借款风险时，仓位可能被强制清算。清算后，你可能损失全部或大部分保证金。清算执行还可能受到链上价格、流动性、滑点和区块确认速度影响。

#### 7.3 借款和利息风险

杠杆仓位涉及借款。持仓期间可能产生借款利息或其他成本，且利率可能根据协议流动性利用率变化。持仓时间越长，成本越需要关注。

#### 7.4 流动性风险

链上交易依赖流动池。低流动性交易对可能出现高滑点、价格剧烈波动、无法按预期价格成交、平仓困难等问题。meme 和长尾资产尤其需要注意。

#### 7.5 代币合约风险

部分代币可能存在貔貅、高税费、黑名单、转账限制、暂停交易、未开源、未弃权、未锁池等风险。Debot 的风险检测只能作为辅助参考，不能保证识别所有风险。

#### 7.6 协议和智能合约风险

杠杆交易依赖链上协议、智能合约、钱包、RPC、区块网络等基础设施。智能合约漏洞、协议升级、交易失败、网络拥堵、前端显示延迟等都可能造成损失。

#### 7.7 MEV 和滑点风险

链上交易可能受到抢跑、夹子、套利机器人等 MEV 行为影响。即使开启 MEV 保护，也不能保证完全避免不利成交。请合理设置滑点，不要在异常波动时重仓开杠杆。

PLEASE BE AWARE THAT THESE TERMS OF SERVICE REQUIRE THE USE OF ARBITRATION (SECTION 13.4) ON AN INDIVIDUAL BASIS IN ORDER TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS. FURTHER THESE TERMS OF SERVICE WILL ALSO LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.

By accessing, submitting information to and/or using the Services, or by signing into the services using a Wallet, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference, and to be in compliance with all applicable laws including, without limitation to, all federal, state and local tax and tariff laws, regulations, and/or directives. In accordance with Article 6 of the General Data Protection Regulation, or “GDPR,” users in the European Union acknowledge and consent to our processing of personal data as essential for the performance of these Terms, applicable agreements, and use of the Services. If you are not in agreement with these Terms, please refrain from using the Services. The Terms of Service are referred to herein as the “Agreement.”

1. AMENDMENTS

The Company reserves the right to amend this Agreement and the Company’s Privacy Policy described in Section 5 below at any time with reasonable notice, as determined by the Company in its sole discretion. The Company will post updates of any amendment on the Service. Users should review this Agreement, and the Company’s Privacy Policy on a regular basis for new updates. By continuing to use the Platform or Service after such notice is provided, you accept and agree to such amendments. If you do not agree to any amendment to any of these agreements, you should immediately stop using the Platform and Service. 1. DEFINITIONS AND INTERPRETATION

3.1 Defined Terms. Unless the context requires otherwise, the following terms in this Agreement shall have the following meanings:

“Affiliate” shall have the meaning, with respect to any party, a person, firm, corporation, partnership, general partnerships, limited partnerships, and limited liability partnerships), limited liability company, or other entities that now or in the future, directly controls, is controlled with or by or is under common control with such party.

“Applicable Law” shall have the meaning of all federal and state laws

“Business Day” shall have the meaning of any day (other than a Saturday, Sunday, or legal holiday)

“Profile Information” means the information that a User provided to us in order to register for the Service, including as applicable, wallet address, name, address, and the username and password that allow you to access the Service

“Wallet” means an Ethereum electronic wallet that allows Users to purchase and store cryptocurrencies, tokens and sign/engage in transactions on the Ethereum Blockchain.

1.1 Interpretation. References to Sections and Appendices are to be construed as references to the Sections of, and Appendices to, this Agreement, unless otherwise specified. The singular includes the plural, and the plural includes the singular. All references to hereof, herein, hereunder and other similar compounds of the word here shall mean and refer to this Agreement as a whole. The terms include and including are not limiting in nature. All references to days shall mean calendar days unless it is specified to be Business Days. The use of the word “including” in this Agreement to refer to specific examples shall be construed to mean “including, without limitation” or “including but not limited to” and will not be construed to mean that the examples given are an exclusive list of the topics covered.

1. THE SERVICE

4.1 Purpose of the Services. The Services is provided for the purpose of allowing Users to purchase tokens. It attempts to present information in an aggregate format for the convenience and ease of use of Users. The Service, and the Platform are provided solely for educational purposes and do not include or represent financial advice or indicate any trading opportunity for the User. Due to factors that are out of the Company’s control, the Company does not warrant the accuracy, completeness, or utility of any information on the Platform or in the Services at any particular time. Any reliance Users place on such information is strictly at their own risk. The Company disclaims all liability and responsibility arising from any reliance placed on such content by Users or any other visitor to our Website, or by anyone who may be in receipt of its contents. Any information Users provide or the Company collects through the Website shall be handled in accordance with the Website’s Privacy Policy.

4.2 Use of the Services. The Company grants Users a revocable non-exclusive license to access the Services including any Website and data, material, content, or information herein solely for their personal use. User’s right to access and use the Website shall be limited to the purposes described in these Terms unless the User is otherwise expressly authorized by the Company to use the Services for Users’ own commercial purposes. You agree to use the Services only for lawful purposes and agree to comply with all rules governing any transactions on and through the Services.

To be eligible to register for a DeBot Account and use the Services, you must:

a. be an individual, corporation, legal person, entity or other organization with the full power, authority and capacity to (1) access and use the Services; and (2) enter into and comply with your obligations under these Terms;

b. if you are an individual, be at least 18 years old;

c. if you act as an employee or agent of a legal entity, and enter into these Terms on their behalf, you must be duly authorized to act on behalf of and bind such legal entity for the purposes of entering into these Terms;

d. not have been previously suspended or removed from using the Services;

e. not be a Restricted Person;

f. not currently have an existing DeBot Account; and

g. not be located, incorporated, otherwise established in, or resident of, or have business operations in:

i. a jurisdiction where it would be illegal under Applicable Law for you to access or use the Services, or cause us or any third party to contravene any Applicable Law; or

ii. a country listed in our List of Prohibited Countries below:

Cuba, Iran, North Korea, Syria, Russia and any other country that has been identified as being sanctioned by the United States of America, United Kingdom, European Union or United Nations.

4.2.3 User Account Responsibility. User understands and agrees that you are solely responsible for maintaining the security of your account and control over any usernames, passwords, public and/or private keys, or any other codes that User uses to access the Service. If you are given or create a password to access the Platform, you are responsible for maintaining the confidentiality of your account and your password. If you use a Wallet to access the Platform, the Company has no way of granting you access to the site if you lose access to, or control of, your Wallet. You are responsible for all activities that occur under your account, and you agree to notify the Company immediately of any suspected unauthorized use of your account. The Company is not responsible for any loss that you may incur as a result of any unauthorized activity related to your account, wallet. or your password.

4.2.4 Additional Considerations

4.2.4.1 Transactions are recorded on the public blockchains. Transactions on the Platform are managed and confirmed via public blockchains including but not limited to the Ethereum and Solana blockchains. The User understands and agree that your public address on the relevant blockchain will be made publicly visible whenever it engages in a transaction on the Platform. We neither own nor control any Wallet, the Ethereum network, or any other blockchain network we interface with, or any other 3rd-party site or service that Users might access or use for the purpose of enabling the user to access and utilize any feature of the Platform. The Company will not be liable for the acts or omissions of any such third parties, nor will we be liable for any damage that a User suffers as a result of its transactions or any other interaction with any such third parties.

4.2.4.2 Gas. All transactions through the Services are facilitated by smart contracts existing on a blockchain network. The value of the Gas Fee vary, often unpredictably, and is entirely outside of the control of the Company or the Services. User acknowledges that under no circumstances will a transaction through the Services be invalidated, revocable, retractable, or otherwise refundable on the basis that the Gas Fee for the associated transaction was unknown, too expensive, or otherwise unacceptable to User.

4.2.4.3 Our Use of Account Information. Verified Users authorize us to use the account information for all purposes related to the Service, provided that such access shall be used solely for the purpose of providing the Service.

4.3 License. Subject to this Agreement, the Company grants you a non-transferable, non-exclusive, revocable, limited license to access the Service solely for your own personal use, and solely as permitted by and in compliance with the Terms and Applicable Law. Such a limited license may be revoked at any time at the Company’s sole discretion.

4.4 Prohibitions and Restrictions

4.4.1 Prohibited Uses. You agree that you will not:

-Use the Services in any manner that could damage, disable, overburden, or impair the Services

Obtain or attempt to obtain any materials or information through the Services by any means not intentionally made available or provided by the Company;

-Attempt to gain unauthorized access to any Website account, computer systems or networks associated with the Company or the Website;

-Attack the Services via a denial-of-service attack or a distributed denial-of-service attack

-Impersonate or attempt to impersonate the Company, a Company employee, another user or any other person or entity

-Modify, make derivative works of any part of the Service

4.4.2. Restrictions. Except as expressly stated herein, no part of the Service may be copied, reproduced, distributed, republished, or transmitted in any form or by any means. All copyright and other proprietary notices on the Service must be retained on all copies thereof. You further agree that you will refrain from using the Services for any illegal purpose.

4.5 Modification. the Company reserves the right, at any time, to modify, suspend, or take down the Services (in whole or in part) and the Services with or without notice to you. You agree that the Company will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services.

4.6 No Support or Maintenance. User acknowledges and agrees that the Company has no obligation to provide you with any support or maintenance in connection with the Services on an ongoing basis.

4.7 Account Suspension. User agrees that the Company reserves the right to immediately stop or suspend User’s access to the Services, Website, and the Platform if Company suspects that (i) the User’s account is being used for illegal activities; (ii) the User has engaged in fraudulent activities; or (iii) the User has engaged in transactions that are in violation of these Terms of Use in the sole discretion of the Company.

4.8 Affiliates. The rights, duties and/or obligations of the Company under this Agreement may be exercised and performed by the Company and any of the Company’s Affiliates, or any of their subcontractors and agents. The Company acknowledges that it shall be solely responsible for the acts or omissions of the Company’s Affiliates, and any subcontractor or agent of the Company or any of the Company’s Affiliates, related to the subject matter hereof. You agree that any claim or action arising out of or related to any act or omission of any of the Company or the Company’s Affiliates, or any of their respective subcontractors or agents, related to the subject matter hereof, shall only be brought against the Company, and not against any of the Company’s Affiliates, or any subcontractor or agent of the Company or any of the Company’s Affiliates.

4.9 Disclaimer for Copy Trading and Limit Order Take-Profit/Stop-Loss Features

Feature Description

DeBot provides "Copy Trading" and "Limit Order Take-Profit/Stop-Loss" features to offer users convenient trading assistance tools. However, the operation of these features relies on various technologies and external conditions, including but not limited to the user's device and network connection, blockchain networks (such as Ethereum and Solana), the responsiveness of third-party services, and other factors that may affect the proper functioning of these features.

Delays and Price Fluctuations

Users understand and agree that when using the "Copy Trading" or "Limit Order Take-Profit/Stop-Loss" features, transaction execution may be delayed or fail due to the following reasons, including but not limited to:

* Issues with the user's own network connection;
* Congestion, delays, or failures in blockchain networks (such as Ethereum or Solana);
* Uncontrollable delays in the execution of smart contracts;
* Interruptions or delays in third-party services (e.g., data providers or node services);
* Other technical or non-technical reasons leading to unforeseen delays.

Such delays may result in market price fluctuations, causing transactions to fail to execute at the intended price or even fail entirely, potentially leading to losses.

Limitation of Liability

Users explicitly understand and agree that DeBot shall not bear any legal responsibility or liability for compensation for the following consequences caused by delays or price fluctuations:

* Transactions failing to execute at the price or conditions set by the user;
* Transactions failing or being partially executed;
* Potential profit losses or actual losses caused by price fluctuations;
* Other direct or indirect consequences arising from delays or technical issues.

User Responsibility

When using the "Copy Trading" and "Limit Order Take-Profit/Stop-Loss" features, users are responsible for assessing and bearing the associated risks. DeBot strongly advises users to fully understand market volatility and the potential limitations of blockchain technology before using these features.

Force Majeure

Users further understand and agree that DeBot shall not be held liable for any delays or failures in transactions caused by force majeure events, including but not limited to natural disasters, wars, government actions, blockchain network attacks, or other uncontrollable events.

Copy Trading / Signal Following Disclaimer

DeBot provides the “Copy Trading / Signal Following” feature solely as a trading tool and data interface. It does not constitute any investment advice, solicitation, or guarantee of returns. **All trades are initiated and signed by you through your own or connected wallet on the web interface, based on the parameters and assets you select. DeBot will never execute any transactions on your behalf without your explicit authorization.** DeBot is not a broker, financial advisor, or custodian, does not hold or control your digital assets, and bears no responsibility for your trading decisions or outcomes.

You fully understand and agree that digital asset prices are highly volatile and may result in partial or total loss of principal due to, among others: slippage, insufficient liquidity, liquidation/forced closure, MEV/front-running, network congestion, gas/priority fees, failures or upgrades of third-party DApps/routers/contracts, cross-chain/bridging risks, project risks (including liquidity withdrawal, service suspension, or contract replacement), and regulatory or policy changes. Addresses, signals, and market data displayed on DeBot are derived from on-chain public data or third parties, and are not guaranteed to be accurate, complete, or timely. **Past performance does not guarantee future results.** In addition to any service fees charged by DeBot, your trades may incur gas fees, priority fees, platform fees, or other charges levied by network validators or third-party platforms. You may stop subsequent copy trading at any time; however, transactions already broadcasted or in progress on-chain may not be canceled or modified.

By using this feature, you confirm that you possess adequate trading experience and risk tolerance, are not located in restricted jurisdictions, and that you have read, understood, and agreed to this Disclaimer as well as the Terms of Service and Privacy Policy. **All profits and losses are solely your own responsibility.**

4.10 Disclaimer for Leverage Trading / Margin Trading Features

Feature Description

DeBot may provide leverage trading, margin trading, long position, short position, collateral management, position closing, and related display or execution assistance features (collectively, the “Leverage Trading Features”). The Leverage Trading Features are provided solely as self-directed tools and interfaces that may enable Users to interact with decentralized protocols, smart contracts, routers, liquidity pools, lending pools, oracle mechanisms, liquidation mechanisms, wallets, blockchain networks, or other third-party applications. DeBot does not provide investment, financial, legal, tax, accounting, brokerage, dealer, exchange, lending, custody, clearing, settlement, portfolio management, or advisory services.

Self-Directed Trading

All Leverage Trading transactions are selected, configured, initiated, authorized, and signed by the User through the User’s own wallet or connected wallet. The User is solely responsible for determining whether to open, maintain, modify, add collateral to, reduce, or close any leveraged position, and for selecting all related parameters, including without limitation the trading pair, direction, leverage multiple, collateral amount, transaction amount, slippage tolerance, gas fee, priority fee, and any other applicable settings. DeBot does not make trading decisions for the User and does not guarantee that any transaction, position, liquidation, repayment, or closing action will be executed successfully, timely, or at any expected price.

Leverage and Liquidation Risk

The User understands and agrees that leverage may magnify both gains and losses. A relatively small adverse market movement may result in substantial loss, forced liquidation, forced position closure, or loss of all or substantially all collateral committed to a leveraged position. Depending on the design of the applicable protocol, the User may also incur additional losses, costs, interest, fees, penalties, gas fees, or other liabilities associated with opening, maintaining, liquidating, repaying, or closing a leveraged position. Liquidation may occur automatically through smart contracts or third-party protocol mechanisms, with or without prior notice to the User, and may be irreversible once submitted or executed on-chain.

Borrowing, Interest, Fees, and Repayment

Leverage Trading Features may involve borrowing digital assets or using collateral to obtain exposure larger than the User’s initial collateral. Borrowed assets may accrue interest, funding costs, protocol fees, platform fees, trading fees, gas fees, priority fees, liquidation fees, repayment costs, or other charges. Such costs may change dynamically based on market conditions, liquidity utilization, protocol parameters, blockchain network congestion, or third-party protocol updates. The User is solely responsible for understanding and paying all costs associated with leveraged positions, including any repayment obligations required by the applicable protocol.

Market, Liquidity, Slippage, and MEV Risk

Leveraged positions are subject to market volatility, insufficient liquidity, liquidity withdrawal, pool imbalance, price impact, slippage, failed or partial execution, delayed execution, oracle delay or inaccuracy, price manipulation, front-running, sandwich attacks, MEV, arbitrage activity, network congestion, and other market or technical conditions. These risks may be more severe for meme tokens, newly issued tokens, low-liquidity tokens, tokens with transfer restrictions, tokens with high buy or sell taxes, tokens with blacklist or whitelist functions, tokens with upgradeable or unaudited contracts, or tokens otherwise identified as high risk. Risk detection, token labels, warnings, contract analysis, market data, AI signals, smart money data, and any other information displayed by DeBot are provided for convenience only and may be inaccurate, incomplete, delayed, or unable to identify all risks.

Third-Party Protocol and Smart Contract Risk

Leverage Trading Features may depend on third-party decentralized protocols, smart contracts, wallets, RPC providers, data providers, indexers, price feeds, or blockchain networks that are not owned or controlled by DeBot. The User acknowledges and agrees that DeBot is not responsible for any act, omission, failure, exploit, bug, vulnerability, governance decision, parameter change, upgrade, suspension, discontinuation, inaccurate data, liquidity shortage, oracle malfunction, liquidation mechanism, repayment mechanism, or other condition relating to any third-party protocol, smart contract, wallet, network, or service. Any transaction broadcasted to a blockchain network may be irreversible and may not be canceled, modified, or refunded.

No Guarantee of Availability or Results

DeBot does not guarantee the availability, continuity, suitability, legality, profitability, liquidity, execution quality, liquidation price, estimated profit or loss, collateral ratio, margin level, borrowing rate, fee estimate, risk estimate, or any other displayed data relating to the Leverage Trading Features. Any price, liquidation price, profit and loss, collateral ratio, borrowing amount, interest, fee, or risk information displayed on DeBot is an estimate or reference only and may differ from the final on-chain result.

User Responsibility and Eligibility

By using the Leverage Trading Features, the User represents and warrants that the User has sufficient knowledge, experience, financial resources, and risk tolerance to understand and bear the risks of leveraged digital asset transactions; is not located in or otherwise subject to any jurisdiction where access to or use of the Leverage Trading Features would be prohibited, restricted, or unlawful; has independently evaluated the relevant transaction, protocol, token, smart contract, wallet, and blockchain risks; and accepts full responsibility for all profits, losses, fees, taxes, liabilities, claims, and consequences arising from the User’s use of the Leverage Trading Features.

Limitation of Liability

To the maximum extent permitted by Applicable Law, DeBot, the Company, its Affiliates, and their respective officers, directors, employees, agents, contractors, licensors, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, punitive, exemplary, or other damages, losses, liabilities, claims, costs, or expenses arising out of or relating to the User’s access to, use of, inability to use, reliance on, or interaction with the Leverage Trading Features, including without limitation losses arising from market movements, liquidation, forced closure, failed execution, partial execution, delayed execution, inability to close a position, inaccurate displayed information, third-party protocols, smart contracts, wallets, or blockchain networks.

1. PRIVACY

You agree to the Company’s Privacy Policy, which shall be recognized as a part of this Agreement as if it were set forth herein in its entirety. The Privacy Policy describes the methods in which we collect, use, and disclose information that is provided by you. By using the Services, you agree to be bound by the terms of the Privacy Policy.

1. THIRD-PARTY LINKS, PRODUCTS AND APPLICATIONS

6.1 Third-party Sites. The Services may contain links to websites controlled or operated by persons and companies other than the Company (“Linked Sites”), including but not limited to Etherscan.io, opensea.io, any NFT project site, Twitter profile links or Discord servers. Linked Sites are not under the control of the Company, and the Company is not responsible for the contents of any Linked Site, including without limitation any link contained on a Linked Site, or any changes or updates to a Linked Site. The Company is not responsible if the Linked Site is not working properly or for any viruses, malware, or other malicious software attacks resulting from your use of a Linked Site. The inclusion of any link does not imply endorsement by the Company of the site or any association with its operators. You are responsible for viewing and abiding by the privacy policies and terms of use posted on the Linked Sites. You are solely responsible for any interaction or business relationship with third parties who support the Company or are identified in the Services, including any delivery of and payment for goods and services. The Company does not store any information shared with a Linked Site and shall not be responsible for any personally identifiable information shared with any Linked Site.

6.2 Third-party Applications. You acknowledge that your access and use of any third-party applications or software on our Services and Content is at your own discretion and risk, and the Company bears no liability to you arising from your use of any Third-Party Applications. The Company hereby disclaims any representation, warranty, or guarantee regarding any Third-Party Applications, whether expressed, implied or statutory, including, without limitation, the implied warranties of merchantability or suitability for a particular purpose, and any representation, warranty, or guarantee regarding the availability, features, accuracy, completeness, or legality of the Third-Party Applications. You agree to indemnify and hold the Company harmless for any direct, indirect, punitive, incidental, special, or consequential damages, or any damages whatsoever including but without limitation to, damages for loss of use, arising out of or in any way connected with the use or performance of the Third-Party Applications. The Company is not responsible for any personally identifiable information that may be shared with any Third-Party Applications.

6.3 Release. You hereby release and forever discharge the Company (and our officers, employees, agents, successors, and assigns) from, and hereby waive and relinquish, each and every past, present and future dispute, claim, controversy, demand, right, obligation, liability, action and cause of action of every kind and nature, that has arisen or arises directly or indirectly out of, or that relates directly or indirectly to, the Service (including any interactions with, or act or omission of, our partners or any other third party or any Third-party Links and Applications).

1. INTELLECTUAL PROPERTY

7.1 Company Intellectual Property. User acknowledges and agrees that the Company owns all legal rights and interest in and to all elements of the Services. The Company logo, graphics, design, user interface, website design, computer code, services, data, and all elements of the Platform (collectively, the “Company Assets”) are owned by the Company. The Services, Platform, Company Assets, and Content are protected by copyrights, trademarks, or are subject to other proprietary rights. You are not permitted to use the Services or Content in any manner, except as expressly permitted by the Company in these Terms. The Services or Content shall not be copied, reproduced, modified, published, transmitted or distributed in any way.

Notwithstanding anything to the contrary herein, You understand and agree that You shall have no ownership or other property interest in your account, and You further agree that all rights in and to your account are and shall forever be owned by and inure to the benefit of the Company.

7.2 Non-Company Intellectual Property. Outside the Company Assets, all other trademarks, product names, logos, and similar intellectual property on the Platform are the property of their respective owners and may not be copied, imitated, or used, in whole or in part, without the permission of the applicable trademark holder.

7.3 Digital Millennium Copyright Act Compliance

Notification. We take claims of copyright infringement very seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any materials accessible on or from the Services infringes upon your copyright, you may request removal of those materials from the Services by submitting written notification to the Company. In accordance with the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA"), your written notice (the "DMCA Notice") should include the following:

(a)A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

(b)Identification of the copyrighted work claimed to have been infringed

(c)Identification of the material that is claimed to be infringing or to be the subject of infringing activity

(d)Information reasonably sufficient to permit the Company to contact the complaining party, such as an address, telephone number, and an email address

(e)A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;

(f)A statement that the information in the notification is accurate

(g)Under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

1. INDEMNIFICATION

You agree to release, indemnify, and hold harmless the Company and its Affiliates, and their respective officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way related to: (a) your access to, use of, or inability to use the Services (b) your breach of this Agreement; (c) your violation of any rights of a third party; (d) your violation of any Applicable Law; and (e) any and all financial losses you may suffer, or cause others to suffer, due to the buying and selling of tokens whether or not such trades were made due to information learned on the Platform or through the Service.

9.1 User Acknowledges the Risk of Cryptocurrency and Smart Contracts.

You represent and warrant that you understand and are willing to accept the risks associated with cryptographic systems such as smart contracts, public blockchain networks (including but not limited to the Ethereum blockchain network) and non-fungible tokens (NFT).

9.2 Company is Not Responsible for Technical Errors on Any Blockchain.

Company is not responsible for losses due to blockchains or any other features of the Ethereum network or any other blockchain network that the Company may include in the Services or Platform, or any wallet on any blockchain network, or losses due to forks, technical issues or any other issues that may result in financial loss.

Upgrades to the Ethereum platform or any other blockchain network with which Company may include in the Services or Platform, a hard fork in any such platform, or a change in how transactions are confirmed on any such platform may have unintended and negative effects on all blockchains using the ERC-20, ERC-721, or ERC-1155 standards.

9.3 The User acknowledges the risks of the platform.

You acknowledge that the Platform is subject to flaws, misstatements, mistakes, incorrect information and acknowledge that you are solely responsible for evaluating any information provided by the Platform. This warning and others provided in this Agreement by Company is in no way evidence nor do they represent an ongoing duty to alert you of all potential risks when you are utilizing or accessing the Platform. The Platform may experience sophisticated cyber-attacks, unexpected surges in activity or other operational or technical difficulties that may cause interruptions to or delays on the Platform. You agree to accept the risk of the Platform failure resulting from unanticipated or heightened technical difficulties, including those resulting from sophisticated attacks, and you agree not to hold the Company accountable for any related losses.

9.4 Company does not make any representations regarding the value of any digital assets.

The prices of blockchain assets are extremely volatile and large changes in the price of other digital assets could materially and adversely affect the value of tokens, which themselves may also be subject to significant price volatility due to supply and demand and the popularity of specific tokens. The Platform, cryptocurrencies, NFTs, and other digital assets may be impacted by one or more regulatory inquiries or pending regulatory action. The Company makes absolutely no representations or warranties of any kind regarding the value of tokens or other digital assets.

9.5 User acknowledges financial risk of digital assets.

The risk of loss in trading digital assets can be substantial. You should, therefore, carefully consider whether such creating, buying or selling digital assets is suitable for you in light of your circumstances and financial resources. By using the Platform, you represent that you are solely responsible for making your own independent appraisal and investigations into the risks of a given transaction and the underlying digital assets. You represent that you have sufficient knowledge, professional advice, and experience to make your own evaluation of the potential gains and losses of any transaction conducted via any digital asset. Under no circumstances shall the Company be financially liable for your use of the Platform in connection with your buying or selling of any digital asset transactions.

9.6 User acknowledges the additional risks of leverage trading.

The User acknowledges and agrees that leverage trading, margin trading, long positions, short positions, collateralized borrowing, liquidation, and related digital asset transactions involve significant risks and are not suitable for all Users. Leverage may amplify market exposure and losses, and the User may lose all or substantially all collateral or assets committed to a leveraged position. The User may also incur interest, protocol fees, trading fees, gas fees, priority fees, liquidation costs, repayment costs, or other expenses. The User is solely responsible for monitoring the User’s positions, collateral, margin level, liquidation price, market conditions, borrowing costs, and all related risks. The Company does not undertake any obligation to monitor, warn, notify, protect, rescue, close, liquidate, repay, or otherwise manage any leveraged position on behalf of the User.

9.7 Violations by other Users.

The User irrevocably releases, acquits, and forever discharges Company and its subsidiaries, affiliates, officers, and successors for and against any and all past or future causes of action, suits, or controversies arising out of another User’s violation of these Terms.

10.1 Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY FINANCIAL LOSS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, PLATFORM, THE WEBSITE OR THE SERVICES, CONTENT OR INFORMATION ACCESSED VIA THE WEBSITE OR ANY HYPERLINKED WEBSITE, OR ANY DISRUPTION OR DELAY IN THE PERFORMANCE OF THE WEBSITE, OR THE SERVICE EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SITES OR SERVICE IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR PERSONAL PROPERTY, OR LOSS OF DATA RESULTING THEREFROM.

THE COMPANY AND ANY THIRD-PARTY LICENSORS WITH CONTENT ON THE SERVICES EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. NOTWITHSTANDING ANY PROVISION CONTAINED HEREIN TO THE CONTRARY, THE COMPANY AND ITS THIRD-PARTY LICENSORS MAKE NO REPRESENTATION, WARRANTY OR COVENANT CONCERNING THE ACCURACY, QUALITY, SUITABILITY, COMPLETENESS, SEQUENCE, TIMELINESS, SECURITY OR AVAILABILITY OF THE WEBSITE OR ANY CONTENT POSTED ON OR OTHERWISE ACCESSIBLE VIA THE SERVICES. THE COMPANY MAKES NO WARRANTY THAT THE SERVICES WILL BE FREE OF VIRUSES, WORMS OR TROJAN HORSES OR THAT IT WILL FUNCTION OR OPERATE IN CONJUNCTION WITH ANY OTHER PRODUCT OR SOFTWARE. YOU EXPRESSLY AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK AND THAT THE COMPANY SHALL NOT BE RESPONSIBLE FOR ANY TERMINATION, INTERRUPTION OF SERVICES, DELAYS, ERRORS, FAILURES OF PERFORMANCE, DEFECTS, LINE FAILURES, OR OMISSIONS ASSOCIATED WITH THE SERVICES OR YOUR USE THEREOF. YOUR SOLE REMEDY AGAINST THE COMPANY FOR DISSATISFACTION WITH THE SERVICES OR THE CONTENT IS TO CEASE YOUR USE OF THE PLATFORM, WEBSITE AND/OR THE SERVICES.

10.3 The Company is not a financial planner or investment adviser.

NEITHER THE COMPANY NOR THE PLATFORM NOR THE SERVICES ARE INTENDED TO PROVIDE INVESTMENT OR FINANCIAL ADVICE. THE COMPANY IS NOT A FINANCIAL OR TAX PLANNER AND DOES NOT OFFER LEGAL ADVICE TO ANY USER OF THE SERVICES.

1. TERM AND TERMINATION

This Agreement will remain in full force and effect while you use the Platform or use the Service (the “Term”). We may suspend or terminate your rights to use the Platform or Service at any time and for any reason at our sole discretion, including for any use of the Platform or Service in violation of this Agreement. You may terminate this Agreement at any time by ending your use of the Platform and the Service and notifying the Company at <service@debot.ai>. Upon termination of your rights under this Agreement, your right to access and use the Platform and Service will terminate immediately. The Company will not have any liability whatsoever to you for any termination of your rights under this Agreement. All provisions of the Agreement which by their nature should survive, shall survive termination of Services, including without limitation, ownership provisions, warranty disclaimers, and limitation of liability.

1. GENERAL TERMS

12.1 Changes to these Terms of Use.

The Company may update or change these Terms from time to time in order to reflect changes in any of the Company’s Product or Services, changes in the legislation, or for other reasons as deemed necessary by the Company. The effective date of any Terms will be reflected in the “Last Updated” entry at the top of these Terms. Your continued use of the services after the communication of any such change constitutes your consent to such change.

12.2 Waiver.

The waiver by the Company of a breach of any provision contained herein shall be in writing and shall in no way be construed as a waiver of any subsequent breach of such provision or the waiver of the provision itself.

12.3 Governing Law & Jurisdiction.

These Terms are governed by the laws of the province of Ontario, Canada. You hereby irrevocably consent to the exclusive jurisdiction and venue of the courts in the province of Ontario, Canada in all disputes arising out of or relating to the use of the Services not subject to the Arbitration Agreement outlined in 13.4.

12.4 Dispute Resolution.

Please read the following arbitration agreement in this Section (“Arbitration Agreement”) carefully. It requires you to arbitrate disputes with the Company and limits the manner in which you can seek relief from us. It is part of your contract with the Company and affects your rights. It contains procedures of mandatory binding arbitration and a class action waiver.

12.4(a) Applicability of Arbitration Agreement.

All claims and disputes (excluding claims for injunctive or other equitable relief as set forth below) in connection with the Agreement or the use of any Product or Service provided by the Company that cannot be resolved informally shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement. Unless otherwise agreed to, all arbitration proceedings shall be held in English. This Arbitration Agreement applies to you and the Company, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Agreement. This Arbitration Agreement shall apply, without limitation, to all disputes or claims and requests for relief that arose or were asserted before the effective date of this Agreement or any prior version of this Agreement.

12.4(b) Waiver of Jury Trial.

THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement. Arbitration procedures are typically more limited, more efficient and less costly than rules applicable in a court and are subject to very limited review by a court. In the event any litigation should arise between you and the Company in any state or federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU AND THE COMPANY WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge.

12.4(d) Waiver of Class or Consolidated Actions.

ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER.

12.4(e) Confidentiality.

All aspects of the arbitration proceeding, including but not limited to the award of the arbitrator and compliance therewith, shall be strictly confidential. The parties agree to maintain confidentiality unless otherwise required by law. This paragraph shall not prevent a party from submitting to a court of law any information necessary to enforce this Agreement, to enforce an arbitration award, or to seek injunctive or equitable relief.

12.4(f) Sever ability.

If any part or parts of this Arbitration Agreement are found to be invalid or unenforceable by a court of competent jurisdiction, then such specific part or parts shall be of no force and effect and shall be severed and the remainder of the Agreement shall continue in full force and effect.

12.4(g) Right to Waive.

Any or all of the rights and limitations set forth in this Arbitration Agreement may be waived by the party against whom the claim is asserted. Such waiver shall not waive or affect any other portion of this Arbitration Agreement.

12.4(h) Survival of Agreement.

This Arbitration Agreement will survive the termination of your relationship with the Company.

12.4(i) Emergency Equitable Relief.

Notwithstanding the foregoing, either party may seek emergency equitable relief before a state or federal court in order to maintain the status quo pending arbitration. A request for interim measures shall not be deemed a waiver of any other rights or obligations under this Arbitration Agreement.

12.4(j) Courts.

In any circumstances where the foregoing Arbitration Agreement permits the parties to litigate in court, the parties hereby agree to submit to the personal jurisdiction of the provincial courts located in the province of Ontario, for such purpose.

12.5 Attorneys’ Fees and Costs.

In addition to any relief, order, or award that is entered by an arbiter or court, any Party found to be the substantially losing Party in any dispute shall be required to pay the reasonable attorneys’ fees and costs of any Party determined to be the substantially prevailing Party, and such losing Party, shall also reimburse or pay any of the arbitrator’s fees and expenses incurred by the prevailing Party in any arbitration.

12.6 Third Party Beneficiaries.

Notwithstanding Section 12.7, this Agreement and the rights and obligations hereunder shall bind and inure to the benefit of the parties and their successors and permitted assigns. Nothing in this Agreement, expressed or implied, is intended to confer upon any person, other than the parties and their successors and permitted assigns, any of the rights hereunder.

12.7 Entire Agreement.

This Agreement and each of its exhibits or appendices, constitute and contain the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior or contemporaneous oral or written agreements. Each party acknowledges and agrees that the other has not made any representations, warranties or agreements of any kind, except as expressly set forth herein.

12.8 Sever ability.

If any provision of this Agreement (or any portion thereof) is determined to be invalid or unenforceable, the remaining provisions of this Agreement shall remain in full effect and shall be binding upon the parties and shall continue to be enforceable, as if the aforementioned invalid or unenforceable provision (or portion thereof) were not contained in this Agreement.

12.9 Assignment.

You may not assign or transfer any rights hereunder without the prior written consent of the Company. Except as provided in this section, any attempts you make to assign any of your rights or divest any of your duties hereunder without the prior written consent of the Company shall be null and void. The Company may assign this Agreement or any rights hereunder without consent.
